Terms of Service

Rules for using Pnlytic, including accounts, subscriptions, acceptable use, and enforcement against abuse.

1. Agreement to terms

These Terms of Service ("Terms") govern your access to and use of Pnlytic's website and trading journal application (the "Service").

By creating an account or using the Service, you agree to these Terms and our Privacy Policy. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization.

2. The Service

Pnlytic is a software tool for logging trades, analyzing performance, and journaling trading activity.

Pnlytic does not provide investment, financial, tax, or legal advice. We do not execute trades, manage funds, or recommend strategies. All trading decisions are yours alone. Past performance analytics do not guarantee future results.

3. Eligibility and accounts

You must be at least 16 years old (or the age of majority in your jurisdiction) to use the Service.
You must provide accurate registration information and keep it up to date.
One person may not maintain multiple free-trial accounts to circumvent limits.
You are responsible for all activity under your account and for safeguarding your credentials.
Notify us immediately if you suspect unauthorized access.

4. Free trial and subscriptions

New accounts may receive a limited free trial (currently 2 days) with feature and usage caps as described on our pricing page.
Each user is entitled to one free trial unless we explicitly grant otherwise.
Paid plans (Pro, Elite) bill on a recurring monthly or yearly cycle until cancelled.
Prices, features, and plan limits may change with notice on our website or in the app.
Cancelling stops future charges; access generally continues until the end of the current paid period unless stated otherwise.
Full refund rules are in our Refund Policy, which is incorporated into these Terms by reference.

5. Acceptable use

You agree not to:

Use the Service for any unlawful purpose or in violation of applicable regulations.
Upload malicious code, attempt unauthorized access, or interfere with the Service.
Scrape, reverse engineer, or copy the Service except as permitted by law.
Resell, sublicense, or provide the Service to third parties without permission.
Upload content that infringes intellectual property or privacy rights of others.
Misrepresent your identity or affiliation.
Abuse free trials, promotions, refunds, or payment systems (see Section 8).

6. Your content and data

You retain ownership of trading records, journal entries, and other content you submit ("User Content").

You grant Pnlytic a limited, worldwide, non-exclusive license to host, store, process, display, and back up User Content solely to operate and improve the Service.

You represent that you have the rights to upload User Content and that it does not violate these Terms.

You may export or delete your data subject to technical capabilities and legal retention requirements.

7. Our intellectual property

Pnlytic, its logo, software, design, and documentation are owned by us or our licensors and protected by intellectual property laws. These Terms do not grant you any rights to our branding or code except the limited right to use the Service.

8. Abuse prevention, suspension, and blacklisting

We invest in fair access for paying customers and legitimate trial users. Abuse of trials, subscriptions, refunds, or chargebacks harms the Service and may result in enforcement action.

Conduct that may trigger review or enforcement includes, without limitation:

Creating multiple accounts to obtain repeated free trials.
Repeatedly subscribing, cancelling, and re-subscribing to exploit billing periods, promotions, or refunds.
Using different emails, payment methods, or identities to evade prior cancellations or restrictions.
Initiating chargebacks without first contacting support for a good-faith resolution.
Sharing accounts in a way that violates plan limits or trial intent.
Any pattern we reasonably determine to be fraudulent, deceptive, or harmful to Pnlytic or other users.

Enforcement actions

If we identify abuse, we may, at our sole discretion:

Deny or revoke free trials and promotional offers.
Decline refund requests tied to abusive behavior.
Suspend or terminate accounts immediately without refund.
Place identifiers (such as email address, payment method fingerprint, device signals, or IP ranges) on an internal blacklist to block future registrations, trials, or purchases.
Retain minimal records necessary to enforce these restrictions and prevent circumvention.
Cooperate with payment processors on chargeback disputes.

Appeals

Blacklisting is an internal fraud-prevention measure. If you believe your account was restricted in error, contact us with details. We may reinstate access at our discretion but are not obligated to do so.

Enforcement decisions are final except where prohibited by applicable consumer protection law.

9. Termination

You may stop using the Service and cancel your subscription at any time through the app or by contacting support.

We may suspend or terminate access immediately for breach of these Terms, suspected abuse, non-payment, or legal requirements.

Upon termination, your right to use the Service ends. Provisions that by nature should survive (including liability and abuse sections) will survive.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or that analytics will be accurate for every use case. You are solely responsible for verifying data imported from brokers or third parties.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PNLYTIC AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR TRADING LOSSES, ARISING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE IS LIMITED TO THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED US DOLLARS (USD $100), EXCEPT WHERE SUCH LIMITS ARE PROHIBITED BY LAW.

12. Indemnification

You agree to indemnify and hold harmless Pnlytic from claims, damages, and expenses (including reasonable legal fees) arising from your use of the Service, your User Content, or your violation of these Terms or applicable law.

13. Changes and governing law

We may modify these Terms by posting an updated version on this page. Material changes will be indicated by updating the "Last updated" date and, where appropriate, additional notice.

If you continue using the Service after changes become effective, you accept the revised Terms.

These Terms are governed by the laws applicable to Pnlytic's place of business, without regard to conflict-of-law rules, except where mandatory consumer protections in your country require otherwise.

Disputes should first be raised with us at support@pnlytic.com. Where permitted, exclusive jurisdiction lies with the courts competent for our place of business.
